1. Acceptance of these Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MYRA SUPPLIER LTD ("we", "us", "our") governing your access to and use of the website heliosync.app and its content (the "Site"). By accessing or using the Site you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree, you must not use the Site.

2. Definitions
  • "Site" — the public website available at heliosync.app, including all pages, content and functionality.
  • "Platform" — the Heliosync software application available at dash.heliosync.app, accessible to authorized users only and governed by separate written agreements.
  • "Content" — all text, graphics, logos, illustrations, animations, software, code, page designs and other materials on the Site.
  • "User", "you" — any person accessing or using the Site.
3. The Service

The Site is an informational website describing the Heliosync platform, a multi-store e-commerce management solution. Nothing on the Site constitutes an offer, a warranty of results, or professional, legal, financial or tax advice. Access to the Platform itself is not granted through these Terms and requires a separate agreement with us.

4. Eligibility

The Site is intended for users who are at least 16 years old. By using the Site you represent that you meet this requirement and that any information you submit is truthful, accurate and provided in good faith.

5. Acceptable use

When using the Site you agree that you will NOT:

  • attempt to gain unauthorized access to the Site, the Platform, our servers, or any connected system or network;
  • probe, scan or test the vulnerability of the Site or circumvent any security or authentication measure;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, architecture or internal workings of the Site or the Platform;
  • use automated tools (bots, scrapers, crawlers) to extract data from the Site, other than standard search-engine indexing permitted by our robots.txt;
  • submit spam, bulk messages, malicious code, or content that is unlawful, defamatory, deceptive or infringing through the contact form or otherwise;
  • interfere with or disrupt the operation of the Site, including by imposing an unreasonable load on our infrastructure;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • use the Site in violation of any applicable law or regulation.

We may suspend or block access, without notice, to protect the Site, other users or our lawful interests.

6. Intellectual property

The Site and all Content are owned by MYRA SUPPLIER LTD or its licensors and are protected by copyright, trademark and other intellectual property laws. "Heliosync" and the Heliosync logo are our trade identifiers. Except for viewing the Site for your personal, non-commercial information, no license or right is granted to you. You may not copy, reproduce, republish, distribute, transmit, modify, create derivative works from, publicly display or commercially exploit any Content without our prior written consent.

7. Third-party links and services

The Site may contain links to third-party websites or services that we do not own or control. We assume no responsibility for the content, policies or practices of any third party. Accessing third-party resources is at your own risk and subject to their terms.

8. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY STATISTICS, FIGURES OR PERFORMANCE INDICATORS PUBLISHED ON THE SITE ARE ILLUSTRATIVE, MAY CHANGE OVER TIME AND DO NOT CONSTITUTE A PROMISE OF FUTURE RESULTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYRA SUPPLIER LTD, ITS DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED (100) GBP. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.

10. Indemnification

You agree to indemnify, defend and hold harmless MYRA SUPPLIER LTD and its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your misuse of the Site.

11. Privacy

Our collection and use of personal data through the Site is described in our Privacy Policy, which forms part of these Terms.

12. Suspension and termination

We may modify, suspend or discontinue the Site (in whole or in part) at any time, with or without notice, and will not be liable to you for doing so. The sections of these Terms which by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — survive.

13. Changes to these Terms

We may revise these Terms from time to time. The current version, with its effective date, is always published on this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

14. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales shall have exclusive jurisdiction, save for any mandatory consumer protections available in your country of residence.

15. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

16. Entire agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Site and supersede all prior understandings on this subject.
